Terms of service

Last updated: [EFFECTIVE DATE] · Effective: [EFFECTIVE DATE]

This is a translation. The Portuguese version is the original: if the two differ, the Portuguese version prevails.

These Terms of Service ("Terms") govern the purchase and use of Revisa, a service provided by Prelude LTDA, a Brazilian company registered under CNPJ 30.493.260/0001-07, with its registered office at Rua Itaparica, 334/301, Serra, Belo Horizonte, MG, CEP 30240-130, Brazil ("Prelude"), by the organization that uses it ("Customer"). Together with the Privacy policy and the Data processing agreement, which form part of them, the Terms are the entire agreement between Prelude and the Customer about Revisa.

1.Parties and acceptance

1.1The Customer is the organization that uses Revisa, on any Plan or during the Trial (Section 5). The Customer accepts these Terms when a person, on its behalf, creates the organization in Revisa or starts the Trial and ticks the acceptance box in the app. That person confirms that they are authorized to bind the Customer. Use of Revisa after a change to these Terms takes effect is governed by Section 15.

1.2Revisa is a service for businesses. It isn't meant for consumers, and it isn't for people under 18.

1.3On the protection of personal data, the Data processing agreement prevails over these Terms.

2.The Service

2.1Revisa ("Revisa" or the "Service") is a shared repository for the documents and data of the Customer's team. Documents arrive in an inbox (forwarded email, uploads, the API or MCP), are organized into items shaped by the entities the Customer defines and linked to each other, and are reviewed against the rules the Customer writes, by Agents (Section 3), people or tools. What reviewers point out is tracked as issues until it is resolved, and every change is kept in a history that can be undone.

2.2Revisa changes over time: Prelude adds, changes and sometimes removes features.

3.Users and Agents

3.1Three kinds of users can act in the Customer's organization (together, "Users"):

  • Members: the people on the Customer's team who sign in to Revisa. Members count toward the Plan's limit.
  • Guests: people outside the organization (suppliers, clients, partners, the accountant) with whom the Customer shares specific items. Guests are not charged for, and see only what is shared with them.
  • Agents: the Customer's own AI agents, connected through MCP or the API with keys the Customer creates.

3.2The Customer is responsible for its Users, for keeping its API keys safe, and for what its Agents do on its behalf. If the Customer suspects that an account or a key has been misused, it must revoke it and tell Prelude.

4.Artificial intelligence

4.1When the Customer uses AI models it connects itself (ChatGPT, Claude or others), those providers act for the Customer, under their own terms. The Customer chooses them and is responsible for what it sends them; they are not Prelude's subprocessors.

4.2When the Customer uses AI models made available by Prelude, the feature is optional and described before it is enabled; the providers involved are listed among the subprocessors of the Data processing agreement, subject to its notice and objection process; and Prelude processes Customer Data only to provide that feature.

4.3In both cases, Prelude doesn't use Customer Data (Section 8) to train AI models without the Customer's prior agreement.

4.4Reviews and findings made by AI can be wrong. Decisions remain the Customer's.

5.Plans, Trial and payment

5.1Revisa's plans and prices are on the pricing page ("Plans"): Team, Business (in sizes by number of Members) and Enterprise.

5.2The Customer may try Revisa free of charge for 14 days (the "Trial"). To continue after the Trial, the Customer chooses a Plan.

5.3A Plan may be purchased monthly or yearly (the "Subscription"). The Subscription renews automatically at the end of each period until the Customer cancels it (Section 7). Prelude notifies the Customer before a yearly Subscription renews.

5.4Payments are processed by RevenueCat and Stripe. Prelude never has access to the Customer's card number.

5.5Prices in Brazilian reais (BRL) include the applicable Brazilian taxes. Customers in Brazil receive an NFS-e (electronic service invoice). [TODO: confirm with the accountant]

5.6Yearly Subscriptions and Enterprise Plans may be paid by invoice, with boleto, Pix or bank transfer, on request.

5.7Changes to the team's size: an upgrade takes effect immediately, and the Customer pays the difference for the rest of the current period, prorated. A downgrade takes effect at the next renewal.

5.8Prelude gives the Customer at least 30 days' notice before a price change affects its Subscription.

6.Refunds

6.1Monthly Subscriptions are not refunded. On cancellation, future charges stop, and access continues until the end of the month paid for.

6.2Yearly Subscriptions: if the Customer cancels within 7 days of its first yearly purchase, Prelude refunds the full amount, and access ends.

6.3After that period, or in the case of a renewal, Prelude refunds what is left of the year by the following rule:

refund = yearly price paid − (months started × monthly price of the same Plan), never below zero

  • Months started: counted from the date of the purchase or renewal. A month that has begun counts as a whole month.
  • Monthly price: the monthly price of the same Plan in effect on the date the yearly Subscription was paid, in the same currency.

For example, for Team at $790 a year ($79 a month):

CancelledChargedRefunded
Within 7 days (first yearly purchase)
$0
$790
After 1 month
$79
$711
After 3 months
$237
$553
After 6 months
$474
$316
After 10 months or more
$790
$0

The refund reaches zero at 10 months because the yearly price equals 10 monthly payments: the 2 free months are the reward for completing the year.

6.4The rule in Section 6.3 applies to renewals too. The 7-day full refund (Section 6.2) applies only to the Customer's first yearly purchase.

6.5To ask for a refund, the Customer writes to contato@prelude.ltda. The amount goes back to the original payment method, and the Subscription ends when the refund is issued.

7.Cancellation, non-payment and deletion

7.1The Customer may cancel the Subscription at any time. The Plan stays active until the end of the period paid for.

7.2When the Subscription ends, whether by cancellation or non-payment, the Customer's organization becomes read-only for 30 days. During that time, the Customer can still sign in and export the Customer Data (Section 8.2). After that, the organization and the Customer Data are deleted, and backups clear within 30 days of the deletion.

8.Customer Data

8.1The content the Customer and its Users put in Revisa (documents, forwarded emails and the items made from them) is "Customer Content". Customer Content, the Customer's account and organization data and its history of changes are, together, "Customer Data". Customer Data belongs to the Customer. Prelude processes it only to provide the Service, following the Customer's instructions, as the Privacy policy and the Data processing agreement set out.

8.2The Customer can export the Customer Data: a space can be exported with its log of changes, and each person can export their own account's data. The full history of changes is kept while the account is active.

9.Acceptable use

9.1The Customer undertakes, on its own behalf and on behalf of its Users, not to:

  • use Revisa for any unlawful purpose;
  • upload or distribute malware or other malicious code;
  • harass or abuse any person;
  • store or share content that infringes the rights of third parties;
  • attempt to breach or circumvent Revisa's security, or test it, without Prelude's prior written permission;
  • reverse engineer, decompile or disassemble Revisa, except to the extent permitted by law;
  • resell or sublicense Revisa without an agreement with Prelude.

9.2A serious breach of this Section entitles Prelude to suspend or terminate the Customer's access (Section 14).

10.Intellectual property and feedback

10.1Revisa belongs to Prelude: the software, its design and its brand. The Customer keeps all rights to the Customer Data (Section 8).

10.2If the Customer sends Prelude feedback or ideas, Prelude may use them freely.

11.Confidentiality

11.1Each party keeps the other's confidential information confidential and uses it only for the purposes of this agreement. The obligation doesn't cover information that is public, that the party already had, or that the law requires it to disclose.

12.Availability

12.1Prelude does its best to keep Revisa available, but doesn't guarantee any level of uptime, unless an Enterprise contract says otherwise. Maintenance may interrupt the Service.

13.Warranties and limitation of liability

13.1To the extent the law allows, Revisa is provided as it is, without warranties beyond those in these Terms.

13.2To the extent the law allows, neither party is liable for indirect damages (such as lost profits or lost business), and Prelude's total liability is limited to the amount the Customer paid in the 12 months before the claim.

14.Suspension and termination by Prelude

14.1Prelude may suspend or terminate the Customer's access in case of a serious breach of these Terms or of non-payment. Where reasonable, Prelude gives notice first and gives the Customer the opportunity to cure.

14.2On termination, the read-only and export period of Section 7.2 applies, except where the termination is for illegal content or abuse of Revisa's security: in those cases, Prelude may end access immediately, and the Customer Data is deleted on the same schedule.

15.Changes to these Terms

15.1Prelude may change these Terms. For material changes, Prelude notifies the Customer, by email or in the app, at least 30 days in advance. If the Customer doesn't agree, it may cancel the Subscription before the change takes effect (Section 7).

16.Law, courts and language

16.1These Terms are governed by Brazilian law. The courts of Belo Horizonte, MG have jurisdiction over any dispute.

16.2These Terms are written in Portuguese and translated into English and Italian. If the versions differ, the Portuguese version prevails.
